The speech examines how fiduciary duties of care, loyalty, and obedience shape the governance of foundations as distinct institutional forms, with a particular focus on Central and Eastern Europe.
Drawing on Polish law as a case study, it analyses unique position of foundations at the intersection of corporate and charitable models, as mission‑driven, asset‑owning entities that lack shareholders but are governed through corporate‑style boards and asks whether importing company‑law standards is normatively and practically adequate for them.
The talk combines doctrinal and comparative perspectives, looking at recent developments in Germany, the Czech Republic, England, France, and Italy, as well as soft‑law frameworks such as the Swiss Foundation Code and the ELI Model Law on Enterprise Foundations.
